Terms of Service

Please read carefully.

These Terms include a binding arbitration agreement and a class-action waiver (Section 24). They affect how disputes are resolved — by individual arbitration rather than in court, and not as part of a class. You may opt out of arbitration within 30 days as described below.

1. This Agreement

These Terms of Service (“Terms”) are a binding contract between you and DumpsterVibes LLC(“DumpsterVibes,” “we,” “us,” or “our”), governing your access to and use of the DumpsterVibes websites, booking pages, dashboards, driver application, APIs, and related services (collectively, the “Platform”).

By accessing or using the Platform — including by booking a service, creating an account, or clicking “I agree” — you accept these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Platform.

2. Definitions

  • “Company”(or “Operator”) means an independent business that uses the Platform to offer, schedule, manage, perform, bill for, or communicate about one or more activated Company Services.
  • “Customer”means a person or entity that books a Company's services through the Platform.
  • “Company Services” means the services performed by a Company under its activated Service Modules — including roll-off dumpster and compactor service, junk removal, portable-toilet rental and servicing, and related hauling, disposal, and sanitation work. Company Services are performed by the Company, not by DumpsterVibes.
  • “Service Module” means an optional Platform feature set a Company may activate to manage a category of Company Services. The current Service Modules are the Dumpster Module, which includes roll-off dumpster and compactor functionality; the Junk Removal Module; and the Portable Toilet Module.
  • “Company Data” means the information a Company enters, imports, uploads, generates, or maintains on the Platform — including its customer records, personnel records, service descriptions, pricing, schedules, photos, signatures, and operational history.
  • “Messaging Service” means the optional text-messaging capability a Company must affirmatively activate before any customer texts are sent on its behalf.
  • “User,” “you” means anyone who uses the Platform, whether a Customer or a Company.

3. What DumpsterVibes is — and is not

DumpsterVibes is a modular software platform that gives independent Companies the tools to take bookings, accept payments, and run their operations. DumpsterVibes does not provide, perform, supervise, or control the Company Services. We do not own dumpsters, compactors, or portable toilets; we do not operate trucks; and we do not haul, service, clean, pump, or dispose of anything. Every one of those things is done by the independent Company you booked with.

The contract for any Company Services is solely between the Customer and the Company. DumpsterVibes is not a party to that contract, is not an agent, broker, employer, partner, or joint venturer of any Company or Customer, and does not guarantee, warrant, or insure any Company, Customer, or the Company Services. Any listing, ranking, or availability shown on the Platform is not an endorsement or a promise that a Company is suitable, licensed, insured, or available. DumpsterVibes does not automatically verify or guarantee any Company's licensing, insurance, availability, service quality, equipment, personnel, disposal practices, sanitation practices, or regulatory compliance.

4. Service Modules

The Platform is organized into optional Service Modules. A Company chooses which to activate, and may run one, two, or all three:

  • Dumpster Module — roll-off dumpsters, compactors, and related containers, receiver boxes, inventory, deliveries, exchanges, relocations, service schedules, hauling, pickups, weights, disposal records, equipment records, and charges.
  • Junk Removal Module — estimates, load and item pricing, crew scheduling, labor, pickup, hauling, recycling, donation, and disposal records.
  • Portable Toilet Module — portable-toilet rental, delivery, placement, recurring servicing, cleaning, pumping, consumables, relocation, and pickup.

Compactors are part of the Dumpster Module; they are not a separate module. Activating a Module does not mean a Company offers every service that Module can support. Activating the Dumpster Module, for example, does not mean the Company offers compactors. Each Company publishes only the services and equipment it actually provides, and is responsible for the accuracy of what it publishes. Activation never makes DumpsterVibes the provider of a service.

5. Eligibility, accounts, and security

You must be at least 18 years old and able to form a binding contract. If you use the Platform for a business, you represent that you are authorized to bind that business, and “you” includes that business.

You are responsible for the accuracy of the information you provide, for all activity under your account, and for keeping your credentials secure. Notify us promptly of any unauthorized use. We may refuse, suspend, or terminate accounts at our discretion, including for suspected fraud, abuse, chargeback abuse, or violation of these Terms.

Part B — Additional terms for Customers who book

6. Your booking is a contract with the Company

When you book through the Platform, you are entering a direct agreement with the independent Company you selected. Questions, scheduling, service issues, property damage, delays, missed pickups, and disputes are between you and that Company, whose contact information appears on your confirmation and status page. DumpsterVibes is not responsible for the Company Services.

7. Payment authorization and additional charges

You authorize the Company, through our payment processor (Stripe), to charge your selected payment method for the amounts shown at checkout and for any additional amounts you agree to or incur, which may include, without limitation: weight/tonnage overages, additional rental days, additional junk beyond the estimate, live-load or dry-run/trip fees, and damage or contamination charges as disclosed at booking.

You authorize the Company to retain your payment method on file and charge it on a delayed or recurring basis for these amounts. A payment hold or authorization may be placed at or before service. Fees paid to a Company are subject to that Company's cancellation and refund policy, shown at booking and on your status page.

8. Prohibited materials and safe use

You are solely responsible for what you place in a dumpster or present for removal. You must not dispose of hazardous, toxic, regulated, or prohibited materials — including paint, oils, solvents, chemicals, tires, batteries, appliances containing refrigerants, asbestos, medical or biohazardous waste, or anything prohibited by law or by the Company. You agree not to overload a container beyond its rated weight or fill line.

You are responsible for lawful, safe placement and for any resulting charges, fines, or cleanup costs. You agree to indemnify and hold harmless both the Company and DumpsterVibes from any claim, fine, or cost arising from prohibited materials, overloading, or unsafe or unlawful use.

9. Property access, placement, and condition

You represent that you own the placement location or are authorized to use it, and that you have any permits or approvals required (for example, HOA, municipal, or right-of-way permits). You are responsible for identifying private underground utilities, sprinklers, septic, and similar hazards.

Placing and removing heavy equipment can affect driveways and surfaces. Except to the extent caused by a Company's proven negligence, you assume the risk of surface or property damage from placement, and DumpsterVibes has no liability for it.

10. Availability and estimates

Prices, sizes, windows, and availability are set by Companies and may change or sell out. Junk removal estimates are approximations; the final price is confirmed on site by the Company. DumpsterVibes does not guarantee that any Company or service is available at any time.

Part C — Additional terms for Companies (Operators)

11. You are an independent business

As a Company, you are an independent contractor and independent business. Nothing in these Terms creates an employment, agency, franchise, partnership, or joint-venture relationship with DumpsterVibes. You have sole control over and responsibility for your services, pricing, personnel, equipment, scheduling, and how you perform work. You may not represent yourself as DumpsterVibes or act on our behalf.

12. Your services, compliance, and liabilities

You are the merchant of record for your sales and are solely responsible for the Company Services and their quality, safety, and legality, and for all interactions with your Customers, including complaints, damage claims, refunds, and disputes.

You are responsible for obtaining and maintaining all licenses, permits, registrations, and insurance, and for complying with all applicable laws and regulations, including tax collection and remittance, DOT and vehicle rules, environmental and disposal regulations, consumer-protection laws, and communications laws such as the Telephone Consumer Protection Act (TCPA) and carrier messaging rules — including obtaining valid consent before texting Customers and honoring opt-outs. The Platform provides opt-out handling, but legal compliance is yours.

You are responsible for the accuracy of your listings, prices, and service areas, and for the lawful handling of your Customers' data consistent with our Privacy Policy.

Your customer data — importing, exporting, and use. The customer records you bring into, store in, or take out of the Platform are your data, and you are solely responsible for them. You represent and warrant that you have the right to import and use any customer list you upload — including the right to contact those customers — and that doing so does not violate any law, contract, or third party's rights. You are responsible for the accuracy of imported data, for keeping it current, for honoring deletion and opt-out requests, and for obtaining and maintaining any consent required before you call, text, or email a customer, regardless of how that customer entered your book. When you export data, you are responsible for how it is stored, shared, and used after it leaves the Platform. DumpsterVibes acts only as your service provider for this data and does not own it, verify your right to it, or control how you use it, and you indemnify and hold us harmless for your import, export, or use of customer data in violation of these Terms or any law.

13. Platform fees and payment authorization

You agree to pay the platform fees described on our pricing page, as they may change. Fees are not fixed for the life of your account. If we change them, we will give you notice before the change takes effect — not after — and you may close your account at any time without penalty, because there is no contract term. The fee terms in force when your account was created are recorded on your account. Eligible new Companies may receive a limited number of fee-free jobs as described on the Platform; that promotion is offered at our discretion, is non-transferable, and may be denied or revoked for duplicate, restarted, or fraudulent accounts.

You authorize us to collect our fees by deducting them from transactions, debiting your connected payment account, and/or billing you, and to use your payment method or Stripe balance to recover fees owed. Fees are non-refundable except as required by law.

14. Payments, payouts, and chargebacks

Payments are processed and paid out through Stripe Connect under Stripe's Connected Account Agreement, which you must accept and comply with. Card payments on your bookings are created by the Platform and settled on behalf of your connected Stripe account, which is the settlement merchant for those payments. What appears on your customers' statements is derived from your own connected-account settings in Stripe. Payouts go to your connected account. You are financially responsible for refunds, chargebacks, disputes, fines, and any negative balance on your transactions. If your account cannot cover these amounts, you remain liable to us and to Stripe for them, and you authorize us to recover them.

Fraud prevention is your responsibility.Card payments are screened by Stripe's own fraud tooling. Whatever fraud controls are available to your connected account are configured in Stripe, not on the Platform: DumpsterVibes provides no fraud-rule interface and does not and cannot configure, monitor, or guarantee those controls on your behalf. Review your Stripe account settings and enable what it offers you. You are solely responsible for reviewing suspicious orders, verifying identity at delivery, and any losses arising from fraudulent, unauthorized, or disputed transactions. DumpsterVibes is not liable for fraud on your sales.

15. Company indemnification

You agree to defend, indemnify, and hold harmless DumpsterVibes and its owners, personnel, and affiliates from and against any claim, demand, loss, liability, damage, fine, penalty, or expense (including reasonable attorneys' fees) arising out of or related to your Company Services, your Customers, your Content, your use of the Platform, your taxes, or your violation of these Terms or of any law. This is in addition to the general indemnification in Section 23.

16. Company referral program

If we make a referral program available, a Company in good standing — an active account that is current on its platform fees and not in violation of these Terms — may refer another eligible hauling company to the Platform. Eligibility, tracking, and approval work as described in the Platform; a referral must generally be entered before the referred company signs up and its details must match for the referral to qualify.

Status: Future Program. The referral program is not open. No referral may be submitted, no commission accrues, and no payout is made while it is in this state.

Commission. The commission rate and any per-company lifetime cap are to be determined (TBD)and are not set by these Terms. If and when we open the program we will publish the rate, the cap and the eligibility periods on the Platform before it opens, and those published figures — not any earlier figure — will govern. Nothing in this section is an offer of a specific commission. If commission does become payable, it accrues as the recruited company processes payments and is paid out after each month closes to the referring Company's connected Stripe account.

Clawback. Commission is earned only on payments the recruited company actually keeps. We may reverse, deduct, or withhold commission attributable to any payment that is later refunded, charged back, reversed, or determined to be fraudulent, and we may recover commission already paid.

Taxes. Referral commissions are miscellaneous income to the referring Company, which is solely responsible for its own taxes on them, including any Form 1099 reporting of amounts it receives. Participation is voluntary and does not create an employment, agency, partnership, or joint-venture relationship between the referring Company and DumpsterVibes; you refer as an independent business.

Program changes and abuse. The referral program is offered at our discretion. We may modify, suspend, or end it at any time, and we may disqualify referrals, withhold or reverse commissions, and remove participants for self-referrals, fake, duplicate, or restarted accounts, collusion, or any other abuse or attempt to game the program.

Terms for everyone

17. Your content and acceptable use

You retain ownership of the content you submit (for example, your logo, photos, listings, and messages). You grant DumpsterVibes a non-exclusive, worldwide, royalty-free license to host, store, display, and process that content solely to operate and improve the Platform and provide the service to you.

You agree not to: break the law or infringe others' rights; submit false, misleading, or fraudulent information; attempt fraud, money laundering, or chargeback abuse; upload malware; scrape, reverse-engineer, overload, or interfere with the Platform; resell or sublicense the Platform; or use it to harass or harm anyone. We may remove content or suspend accounts that violate this section.

18. Intellectual property

The Platform — including its software, design, text, and the DumpsterVibes name and marks — is owned by DumpsterVibes LLC and protected by law. These Terms grant you a limited, revocable, non-transferable license to use the Platform as intended. All rights not expressly granted are reserved.

19. Third-party services

The Platform relies on third parties such as Stripe (payments), Twilio (SMS), Postmark (email), Supabase (hosting), and Google Maps (addresses and routing). Your use of those features may be subject to the third party's terms, and we are not responsible for their acts, omissions, or availability.

20. Customer text messaging

Text messaging is optional and off until you activate it. Until you do, the Platform sends no customer texts on your behalf. Messaging may cover any Module you have activated — dumpster and compactor service, junk removal, or portable-toilet rental and servicing.

You are the sender of your customer messages. You are responsible for obtaining and honoring customer consent, for the content of your messages, for honoring opt-out and help requests, and for complying with the TCPA, carrier rules, and other applicable law. Your customer messages identify your business by name.

How messages are carried today.DumpsterVibes operates the messaging infrastructure and is the registered sender with mobile carriers for Companies on the Platform. Your customer messages are delivered through DumpsterVibes' messaging service. DumpsterVibes pays the underlying telecommunications provider and recovers that cost through its platform fees; you are not separately invoiced by that provider for messages sent through the Platform. DumpsterVibes may change this arrangement — including moving Companies onto their own messaging accounts and direct telecommunications billing — on notice.

No delivery guarantee. DumpsterVibes does not guarantee carrier or registry approval, message delivery, throughput, number availability, carrier acceptance, or continued availability of messaging. Carriers filter and block messages for reasons outside our control, and messaging may be suspended where required for compliance.

21. Disclaimers

Please read this section carefully — it limits warranties.

The Platform is provided “as is” and “as available,” without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Platform will be uninterrupted, secure, or error-free.

DumpsterVibes makes no warranty and assumes no responsibility for the Company Services or for the conduct of any Company or Customer — including service quality, timing, safety, property damage, missed or late pickups, disposal, licensing, insurance, or the resolution of any dispute. Those are solely between the Customer and the Company.

22. Limitation of liability

To the fullest extent permitted by law, DumpsterVibes and its owners, personnel, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business interruption, arising out of or related to the Platform or these Terms, even if advised of the possibility.

Our total aggregate liability for all claims relating to the Platform will not exceed the greater of (a) the total platform fees you paid us in the three months before the event giving rise to the claim, or (b) US $100. These limits apply even if a remedy fails of its essential purpose. Some jurisdictions do not allow certain exclusions or limitations, so parts of this section may not apply to you.

23. Indemnification

You agree to defend, indemnify, and hold harmless DumpsterVibes and its owners, personnel, and affiliates from and against any claim, loss, liability, damage, or expense (including reasonable attorneys' fees) arising out of or related to your use of the Platform, your Content, your violation of these Terms or any law, or your infringement of any third party's rights.

24. Dispute resolution, arbitration & class-action waiver

Informal resolution first. Before starting a formal proceeding, you agree to email us at [email protected] with a description of the dispute and give us 30 days to try to resolve it.

Binding arbitration. Except as noted below, any dispute arising out of or relating to these Terms or the Platform will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court. The arbitration will take place in the State of Georgia or, at your election, your home county, or by phone/video. Judgment on the award may be entered in any court with jurisdiction.

Class-action & jury waiver. Disputes will be conducted only on an individual basis. You and DumpsterVibes waive any right to a jury trial and to participate in a class, collective, or representative action.

Exceptions. Either party may bring an individual claim in small-claims court, and either party may seek injunctive relief for intellectual-property or unauthorized-access claims.

30-day opt-out. You may opt out of this arbitration agreement by emailing [email protected] within 30 days of first accepting these Terms, stating your name and that you opt out of arbitration. Opting out does not affect the rest of these Terms.

Time limit. Any claim must be brought within one (1) year after it arises, to the extent permitted by law.

25. Term and termination

You may stop using the Platform at any time; Companies may request account closure as described in the app. We may suspend or terminate access at any time for any reason, including violation of these Terms. Sections that by their nature should survive termination — including payment obligations, disclaimers, limitations of liability, indemnification, and dispute resolution — survive.

When a Company requests cancellation: the account enters a data-export window during which the Company keeps full access to export its reports and customer data, followed by a grace period during which the account is paused but can still be reinstated (by the Company before it is paused, or by us on request). The current length of each window is shown in the app when you request cancellation, and either window may be reinstated at any time before it ends — a Company that changes its mind simply cancels the request and keeps everything.

What we delete, and what we keep.After the grace period ends, we delete the Company's Company Data from the Platform. What we keep afterwards is our ownbusiness, contract, and compliance record — not the Company's working data. That means: our transaction, fee, tax, and accounting records for the period the Company traded; the Company's acceptance of these Terms and of its pricing; our security and audit trail; and evidence of end-customer messaging consent, which we are obliged to be able to produce if a complaint is later made about a message sent through the Platform. Each of those is kept only for as long as the applicable accounting, contractual, or statutory period requires, and is then deleted. We do not keep the Company's operational and customer records for our own purposes once the export window has closed. This does not change any Company's independent obligations to its own customers under applicable data-protection law.

26. Changes, and other terms

Changes. We may update these Terms; we will change the effective date and, for material changes, provide reasonable notice. Continued use after changes take effect means you accept them.

Governing law. These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law rules. Subject to Section 22, the exclusive venue for any permitted court action is the state or federal courts located in Georgia.

Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.

Assignment. You may not assign these Terms without our consent; we may assign them, including in connection with a merger, acquisition, or sale of assets.

Severability & waiver. If any provision is unenforceable, the rest remains in effect, and our failure to enforce a provision is not a waiver. These Terms and the Privacy Policy are the entire agreement between you and us regarding the Platform.
